Setting up S corps for clients?

One Form 2553 per client, from your client list

Tax and formation firms keep the details for each new corporation in a spreadsheet anyway. Open the ready Form 2553 template and upload that list, and MailMergic fills Part I and the shareholder table for every client, one PDF each, named after the corporation.

  1. 1Open the ready Form 2553 template. Its boxes are already connected to columns like Corporation name, EIN and Shareholder 1 name and address.
  2. 2Upload your client list from Excel or Google Sheets. MailMergic suggests which column goes in which box, and you confirm once.
  3. 3Generate one PDF per corporation, ready for the officer and shareholders to sign.

How to fill out Form 2553, part by part

Part I

Name and address

The corporation’s exact name and address, as on its EIN letter. If either changed after you applied for the EIN, check the box in D.

A to C

EIN and incorporation

The corporation’s EIN, the date it was incorporated or formed, and the state it was incorporated in.

E

Effective date

The first day of the tax year the election should start. A new corporation usually enters the date its first tax year began, often not January 1.

F

Tax year

Most S corporations choose the calendar year. A fiscal year or a 52-53-week year also needs Part II.

H

Contact

Name, title and phone number of the officer or legal representative the IRS may call with questions.

I

Late election

Only if you file late: explain the reasonable cause there, in the PDF. Late election relief is described in the IRS instructions.

J to N

Shareholders

Every shareholder required to consent: name and address, shares or percentage, date acquired, SSN or EIN and tax year end. Each one signs and dates column K.

Signature

Officer

An officer signs page 1 with their title and the date. Without the officer’s and all shareholders’ signatures, the election cannot be accepted.

The official instructions are at irs.gov/Form2553.

Form 2553 questions

When is Form 2553 due?

No more than 2 months and 15 days after the beginning of the tax year the election should take effect, or at any time during the tax year before it. For a calendar-year corporation electing for 2027, that means by March 15, 2027.

How do I file Form 2553?

Fax it, or mail the original (no photocopies) to the IRS service center listed in the instructions for your state. If you fax it, keep the original with the corporation’s records.

Who has to sign?

An officer signs page 1, and every shareholder required to consent signs and dates column K on page 2 (or a separate consent statement). Spouses with a community interest in the stock both consent.

Can an LLC file Form 2553?

Yes, an LLC eligible to be treated as a corporation can elect S corporation status with Form 2553. The instructions explain when it does not also need Form 8832.

What if I missed the deadline?

The IRS offers relief for late elections in many cases, with an explanation of reasonable cause in item I. The instructions describe the conditions.

Is my data safe on this page?

The form is filled inside your browser. What you type, including EINs and Social Security numbers, is not sent to MailMergic or anyone else and is not stored.

Do I need a MailMergic account?

No. Filling one Form 2553 is free and needs no account. MailMergic is for firms that need many filled forms, such as one election per client.
